Welcome to Sendexa ("Company", "we", "us", "our"). These Terms of Service ("Terms") govern your use of our website, APIs, platform, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

These Terms apply to all users, including but not limited to visitors, developers, businesses, and customers who use our Services.

2. Definitions

"API"

Application Programming Interface provided by Sendexa for integrating communication services.

Any individual or entity that registers for or uses our Services, including developers, businesses, and end-users.

Any data, information, messages, text, images, audio, video, or other materials transmitted through our Services.

"Fees"

The charges and costs associated with using our Services, as set forth in our pricing plans.

"Platform"

Sendexa's website, dashboard, APIs, and related infrastructure that comprise the Services.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration.

3.1 Account Eligibility

  • You must be at least 18 years old to create an account.
  • You must have the legal capacity to enter into a binding agreement.
  • You may not create an account if you are a competitor or if you have been previously banned from our Services.
  • You must use your real identity and provide valid contact information.

3.2 Account Security

  • You are responsible for maintaining the security of your account credentials.
  • You must immediately notify us of any unauthorized access or security breach.
  • You are liable for all activities that occur under your account.
  • We recommend using strong passwords and enabling two-factor authentication.

Sendexa provides a comprehensive suite of communication APIs and services, including but not limited to:

SMS API

Global SMS delivery with high reliability and 2-way messaging capabilities.

Voice API

Programmable voice calling, IVR, and conference solutions.

WhatsApp API

Official WhatsApp Business API integration for customer engagement.

Email API

Transactional and marketing email delivery at scale.

4.1 Service Availability

  • We strive to maintain 99.99% uptime for our Services.
  • Scheduled maintenance will be communicated in advance.
  • We are not liable for service interruptions beyond our reasonable control.

4.2 Service Modifications

  • We may update, modify, or discontinue features at any time.
  • Major changes will be communicated to users in advance.
  • Continued use of Services after changes constitutes acceptance.

5. Usage Requirements

5.1 Acceptable Use

You agree to use our Services responsibly and in compliance with all applicable laws and regulations. You must not:

  • Use our Services for any illegal or unauthorized purpose.
  • Send spam, bulk unsolicited messages, or deceptive content.
  • Violate any telecommunications laws or carrier policies.
  • Attempt to circumvent our rate limits or security measures.
  • Use our Services to transmit malware, viruses, or harmful code.
  • Infringe on intellectual property rights of others.
  • Harass, threaten, or abuse any individual or group.
  • Use our Services for political campaigning without consent.

5.2 Rate Limiting

  • We enforce rate limits to ensure fair usage and service stability.
  • Users exceeding rate limits may have their access temporarily restricted.
  • Enterprise customers can request higher limits.

🚫 Prohibited:Using our Services for sending spam, fraudulent activities, or any illegal purposes is strictly prohibited and will result in immediate account termination.

6. Fees and Payments

6.1 Pricing

  • Our pricing is transparent and available on our website.
  • Fees are subject to change with 30 days' notice.
  • Customers will be notified of any price changes in advance.
  • All fees are denominated in USD unless otherwise specified.

6.2 Billing

  • We bill monthly based on your usage and pricing plan.
  • Invoices are generated and sent via email.
  • Payment is due within 15 days of the invoice date.
  • We accept major credit cards, PayPal, and bank transfers.
  • Enterprise customers may have extended payment terms.

6.3 Refunds

  • Prepaid services are non-refundable.
  • We may provide refunds or credits at our sole discretion.
  • Unused credits do not expire unless stated otherwise.

6.4 Taxes

  • You are responsible for any applicable taxes.
  • We may collect VAT, GST, or other sales taxes as required.
  • Tax-exempt customers must provide valid documentation.

9. Termination

9.1 By You

  • You may terminate your account at any time.
  • Upon termination, you will no longer have access to our Services.
  • Any outstanding fees remain due and payable.
  • We will delete your data in accordance with our Privacy Policy.

9.2 By Us

  • We may suspend or terminate your account if you violate these Terms.
  • We may terminate for non-payment or fraudulent activity.
  • We reserve the right to discontinue our Services with reasonable notice.

9.3 Survival

  • Provisions that by their nature should survive termination will do so.

10. Disclaimers and Warranties

11. Limitation of Liability

  • You agree to indemnify and hold Sendexa harmless from any claims arising from your use of our Services.
  • This includes claims related to your Content, violations of these Terms, or violations of laws.
  • We reserve the right to assume exclusive defense of any claim subject to indemnification.
  • You agree to cooperate with us in defending any such claim.

13. Governing Law

  • These Terms are governed by the laws of Ghana.
  • Any disputes arising from these Terms will be resolved in the courts of Accra, Ghana.
  • International users agree to submit to the jurisdiction of Ghanaian courts.
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to Terms

  • We may update these Terms from time to time.
  • We will notify you of significant changes via email or platform notification.
  • Continued use of our Services after changes constitutes acceptance.
  • If you do not agree to the changes, you must stop using our Services.
